Partie I · Prestations de studio
1. Objet
Les présentes CGV ont pour objet de définir les conditions dans lesquelles Sonelay EI fournit à ses clients des prestations de conseil, branding, design, UX/UI, direction artistique, conception d’interfaces, développement web, intégration, automatisation, création d’outils digitaux, mise en place de solutions conversationnelles, accompagnement stratégique, maintenance et plus largement toute prestation décrite dans un devis, une proposition commerciale, un bon de commande ou un accord écrit.
2. Champ d’application
Les présentes CGV s’appliquent à toute commande de prestation conclue avec Sonelay EI, sauf conditions particulières expressément acceptées par écrit.
Elles prévalent sur tout autre document du client, notamment ses éventuelles conditions générales d’achat, sauf acceptation préalable, expresse et écrite de Sonelay EI.
3. Acceptation
Le fait de signer un devis, de verser un acompte, d’émettre un bon de commande, d’envoyer un accord écrit non équivoque ou de demander le commencement d’exécution d’une mission emporte acceptation pleine, entière et sans réserve des présentes CGV.
4. Documents contractuels
Le cadre contractuel applicable est constitué, par ordre de priorité décroissant, des documents suivants :
- le contrat particulier ou bon de commande signé, le cas échéant ;
- le devis ou la proposition commerciale validé(e) ;
- les présentes Conditions Générales de Vente ;
- les éventuelles annexes techniques, fonctionnelles ou calendaires ;
- les factures émises par Sonelay EI.
En cas de contradiction, le document de rang supérieur prévaut.
5. Formation de la commande
Sauf stipulation contraire, la commande devient ferme à la première des dates suivantes :
- signature du devis ou de la proposition commerciale ;
- versement de l’acompte prévu ;
- accord écrit du client, y compris par email ;
- demande expresse de commencement d’exécution.
Sauf mention contraire expresse, toute somme versée à la commande constitue un acompte et non des arrhes.
6. Description des prestations
Les prestations de Sonelay EI sont décrites dans le devis, la proposition commerciale ou tout document contractuel associé. Toute prestation non expressément mentionnée est exclue du périmètre initial.
Les prestations peuvent notamment inclure, selon les cas :
- audit, cadrage et stratégie ;
- branding, direction artistique et identité visuelle ;
- UX/UI design, maquettes, prototypes et design systems ;
- développement, intégration, paramétrage ou déploiement technique ;
- mise en place d’outils tiers, automatisations, IA et assistants digitaux ;
- support, optimisation ou maintenance, uniquement si ces prestations sont prévues au devis.
Sauf engagement écrit contraire, Sonelay EI est tenue à une obligation de moyens et non de résultat.
7. Collaboration du client
Le client s’engage à collaborer activement avec Sonelay EI pendant toute la durée de la mission. Il s’engage notamment à :
- fournir des informations exactes, sincères et complètes ;
- transmettre dans les délais convenus les contenus, accès, validations et éléments nécessaires ;
- désigner un interlocuteur décisionnaire ;
- vérifier la conformité des contenus, mentions, usages, données et éléments relevant de son activité.
Tout retard, défaut de réponse, validation tardive, changement de direction ou omission imputable au client pourra entraîner un report du calendrier, une facturation complémentaire ou une suspension de la mission, sans que la responsabilité de Sonelay EI ne puisse être engagée.
8. Prix
Les prix sont indiqués en euros, hors taxes ou toutes taxes comprises selon la mention figurant sur le devis ou la facture.
Ils peuvent être déterminés :
- au forfait ;
- au temps passé selon un taux journalier ou horaire ;
- selon une formule récurrente ou un abonnement ;
- ou selon un mix de ces modalités.
Sauf mention contraire, les coûts de licences, hébergement, nom de domaine, outils tiers, abonnements logiciels, achats de médias, production externe, déplacements, traductions, photographies, vidéos, ou prestations de sous-traitants ne sont pas inclus.
9. Révisions, itérations et hors périmètre
Le nombre d’allers-retours, de corrections ou de versions incluses est celui prévu au devis. Toute demande supplémentaire, tout changement d’orientation après validation, toute refonte substantielle, tout ajout de fonctionnalité ou tout dépassement du périmètre initial donnera lieu à un devis complémentaire ou à une facturation additionnelle.
10. Modalités de paiement
Sauf stipulation contraire au devis :
- un acompte de 50 % est exigible à la commande ;
- le solde est payable selon l’échéancier prévu au devis ou, à défaut, à réception de facture ;
- aucune livraison finale, aucun transfert complet, aucune mise en production définitive ni aucune cession de droits n’interviennent avant complet paiement des sommes dues.
Le paiement s’effectue par virement bancaire ou par tout autre moyen expressément accepté par Sonelay EI.
11. Retard ou défaut de paiement
Toute somme non payée à échéance entraîne, de plein droit et sans mise en demeure préalable, l’application de pénalités de retard calculées au minimum au taux légal applicable entre professionnels tel qu’exigé par la réglementation en vigueur, avec l’indemnité forfaitaire légale pour frais de recouvrement de 40 € due pour chaque facture réglée en retard.
En cas de retard ou de défaut de paiement, Sonelay EI pourra suspendre immédiatement tout ou partie des prestations en cours, reporter les livraisons, refuser toute nouvelle demande ou résilier la mission aux torts du client, sans que celui-ci puisse réclamer une indemnité quelconque.
12. Délais d’exécution
Les délais communiqués par Sonelay EI sont indicatifs, sauf engagement écrit exprès de délai impératif.
Le calendrier dépend notamment :
- de la réactivité du client ;
- de la bonne réception des contenus, accès et validations ;
- de l’absence de changement substantiel du périmètre ;
- de la disponibilité des services tiers, logiciels, APIs, hébergeurs et plateformes techniques.
Tout décalage imputable au client ou à un tiers prolonge automatiquement les délais à due proportion.
13. Livraison, recette et validation
Les livrables sont remis selon les modalités prévues au devis : lien de prévisualisation, environnement de test, accès technique, fichiers ou publication.
Le client dispose d’un délai de 7 jours ouvrés à compter de la livraison pour notifier par écrit des réserves motivées portant exclusivement sur une non-conformité objective au périmètre convenu.
À défaut de réserves écrites dans ce délai, ou en cas d’utilisation, de publication, de mise en ligne, d’exploitation ou de demande de poursuite du projet après livraison, le livrable sera réputé accepté sans réserve.
14. Maintenance, assistance et évolutions
Sauf mention expresse au devis, Sonelay EI n’est tenue à aucune obligation de maintenance, de mise à jour, de correction, de surveillance, d’hébergement, de sauvegarde ou de support postérieurement à la livraison.
Toute intervention post-livraison pourra faire l’objet d’un devis distinct, d’un forfait d’assistance ou d’une facturation au temps passé.
15. Prestataires, outils et services tiers
La mission peut impliquer le recours à des solutions, outils, logiciels, hébergeurs, APIs, CMS, plugins ou plateformes tiers.
Sonelay EI ne pourra être tenue responsable des conséquences résultant :
- d’une modification, interruption ou suppression d’un service tiers ;
- d’un changement tarifaire, d’API, de politique, de compatibilité ou d’accès ;
- d’une panne réseau, d’une indisponibilité d’infrastructure ou d’un incident fournisseur ;
- d’un choix de solution validé ou imposé par le client.
16. Propriété intellectuelle
Sonelay EI demeure seule titulaire de ses méthodes, savoir-faire, outils internes, frameworks, bibliothèques, structures génériques, procédés, concepts non retenus, composants réutilisables, logiques techniques et éléments préexistants.
Sauf clause particulière contraire, les droits sur les livrables spécifiquement créés pour le client ne sont cédés ou concédés qu’après paiement intégral de toutes les sommes dues.
Sauf stipulation plus précise au devis :
- le client bénéficie, après complet paiement, d’un droit d’usage des livrables remis pour les besoins de son activité ;
- les fichiers sources, variantes non retenues, documents intermédiaires, composants non livrés, prompts internes, systèmes et bibliothèques génériques ne sont pas automatiquement transmis ;
- toute cession étendue, exclusive, totale ou mondiale doit être expressément prévue au devis.
17. Éléments fournis par le client
Le client garantit disposer de tous les droits, autorisations, licences et validations nécessaires sur les contenus, marques, logos, textes, images, vidéos, bases de données, accès et éléments qu’il remet à Sonelay EI ou qu’il lui demande d’utiliser.
Le client demeure seul responsable de la licéité, de l’exactitude et de l’exploitation des éléments qu’il fournit.
18. Références commerciales
Sauf refus écrit préalable du client, Sonelay EI pourra mentionner le nom, le logo, la marque du client, une description succincte de la mission et, le cas échéant, des aperçus du travail réalisé, à titre de référence commerciale sur ses supports de communication, son site, ses présentations ou ses propositions commerciales.
19. Confidentialité
Chaque partie s’engage à conserver strictement confidentiels les informations, documents, données, accès et échanges de toute nature portés à sa connaissance dans le cadre de la relation contractuelle, et à ne pas les divulguer hors des stricts besoins d’exécution de la mission.
Cette obligation demeure applicable pendant toute la durée de la relation contractuelle et pendant 5 ans après sa cessation, sauf obligation légale contraire.
20. Données personnelles
Les traitements de données à caractère personnel réalisés par Sonelay EI dans le cadre de ses activités sont décrits dans sa Politique de Confidentialité.
Lorsque la mission implique un traitement de données pour le compte du client au sens de la réglementation applicable, un accord spécifique de sous-traitance pourra être conclu si nécessaire.
21. Responsabilité
Sonelay EI ne pourra être tenue responsable que des dommages directs, certains et prévisibles résultant d’une faute prouvée dans l’exécution de la mission.
En aucun cas, Sonelay EI ne pourra être tenue responsable des dommages indirects ou immatériels, notamment perte de chiffre d’affaires, perte de marge, perte de données, perte d’image, perte de clientèle, perte d’exploitation ou préjudice commercial.
Sauf faute lourde, dol ou disposition légale impérative contraire, la responsabilité totale de Sonelay EI, tous faits générateurs confondus, est strictement limitée au montant hors taxes effectivement payé par le client au titre de la mission concernée.
22. Force majeure
Aucune partie ne pourra être tenue responsable d’un retard ou d’une inexécution résultant d’un événement échappant raisonnablement à son contrôle, notamment panne générale, cyberattaque externe, interruption massive de réseau, défaillance d’un fournisseur critique, catastrophe naturelle, incendie, inondation, guerre, grève ou décision administrative.
Si l’empêchement se prolonge au-delà de 30 jours, chaque partie pourra mettre fin à la mission par écrit, sans indemnité, sous réserve du paiement des prestations déjà réalisées et des frais déjà engagés.
23. Suspension et résiliation
Sonelay EI pourra suspendre ou résilier tout ou partie de la mission en cas :
- de non-paiement à échéance ;
- de manquement grave ou répété du client à ses obligations ;
- de comportement abusif, injurieux, déloyal ou compromettant ;
- d’impossibilité technique, juridique ou opérationnelle indépendante de sa volonté raisonnable.
En cas de résiliation imputable au client, les sommes déjà versées restent acquises à Sonelay EI, les prestations réalisées ou engagées demeurent dues, et toute phase commencée pourra être facturée prorata temporis ou selon son état d’avancement réel.
24. Nullité partielle
Si une stipulation des présentes CGV était déclarée nulle, inopposable ou inapplicable, les autres stipulations demeureraient pleinement en vigueur.
Partie II · Sonelay, le logiciel
25. Le service Sonelay
Sonelay est le logiciel de prospection édité par Sonelay EI, accessible sur abonnement à l'adresse app.sonelay.com. Il génère des listes d'entreprises réelles à partir d'informations publiquement accessibles, les analyse et propose des angles de prise de contact. Les analyses, fourchettes et priorités fournies sont indicatives : elles éclairent la décision commerciale du client mais ne constituent ni une garantie de résultat, ni un conseil juridique ou financier.
26. Formules et crédits
Trois formules d'abonnement sont proposées : Découverte (600 prospects par cycle), Pro (2 000 prospects par cycle, disponible en mensuel ou annuel) et Studio (volume non plafonné dans le cadre d'un usage raisonnable, précisé ci-dessous). Les compteurs se renouvellent à chaque cycle de facturation et les volumes non utilisés ne sont pas reportés.
Des packs de crédits optionnels permettent de prolonger la capacité au-delà du quota mensuel : 250 crédits pour 19 €, 660 crédits (600 + 60 offerts, +10 %) pour 39 €, 1 800 crédits (1 500 + 300 offerts, +20 %) pour 89 €. Un crédit correspond à un prospect. Les crédits n'expirent pas, ne sont utilisés qu'une fois le quota mensuel épuisé, et ne sont ni remboursables ni convertibles en argent.
27. Prix et paiement du service Sonelay
Les prix en vigueur sont affichés dans l'application et sur la page de paiement au moment de la souscription, en euros. Le paiement est opéré par Stripe, prestataire de paiement sécurisé ; Sonelay EI ne stocke aucune donnée bancaire. Des codes promotionnels peuvent être proposés et s'appliquent selon leurs conditions propres, affichées au moment du paiement. Toute évolution tarifaire est notifiée à l'avance et ne s'applique qu'au cycle suivant.
28. Durée, renouvellement et résiliation de l'abonnement
L'abonnement Sonelay est conclu pour la période choisie (mensuelle ou annuelle) et se renouvelle tacitement à chaque échéance. Le client peut changer de formule à tout moment depuis l'application : le changement est immédiat et calculé au prorata. Le client peut résilier à tout moment ; la résiliation prend effet à la fin de la période en cours, sans frais, et l'accès au service est maintenu jusqu'à cette date. Les sommes déjà versées au titre de la période entamée restent acquises.
29. Droit de rétractation (Sonelay)
Le service s'adresse aux professionnels. Pour les clients consommateurs le cas échéant, l'accès au contenu numérique est fourni immédiatement après le paiement : en souscrivant, le client demande l'exécution immédiate du service et reconnaît renoncer expressément à son droit de rétractation de quatorze jours, conformément à l'article L221-28 du Code de la consommation.
30. Usage loyal du service Sonelay
Le client s'engage à utiliser Sonelay dans le respect des lois applicables à la prospection entre professionnels, notamment en matière de protection des données et de démarchage. La formule Studio s'entend dans le cadre d'un usage raisonnable : des limites de confort lissent les volumes exceptionnels afin de préserver la qualité du service pour tous. Sont proscrits : la revente ou la mise à disposition des données à des tiers, l'extraction massive automatisée, le partage de compte, et tout usage de nature à nuire au service. En cas de manquement grave, Sonelay EI peut suspendre le compte après notification.
31. Disponibilité et responsabilité propres à Sonelay
Sonelay EI met en œuvre les meilleurs efforts pour assurer une disponibilité continue du service, sans pouvoir la garantir de manière absolue (maintenance, incident d'un prestataire, cas de force majeure). Les informations agrégées proviennent de sources publiques et peuvent comporter des inexactitudes indépendantes de sa volonté. Pour le service Sonelay, la responsabilité de Sonelay EI, toutes causes confondues, est limitée au montant des sommes effectivement versées au titre des douze derniers mois d'abonnement. Sonelay EI ne répond pas des décisions commerciales prises sur la base du service. Les données de prospection constituées dans l'espace du client lui restent accessibles pendant toute la durée de son abonnement et peuvent être exportées sur demande.
Dispositions communes
32. Absence de garantie de résultat commercial
Sonelay EI est tenue d'une obligation de moyens et non d'une obligation de résultat.
Le service Sonelay a pour objet d'identifier des entreprises réelles, de les analyser et de proposer des angles de prise de contact. Il fournit donc des opportunités de prospection, et non des clients, des rendez-vous, des ventes ou du chiffre d'affaires. Sonelay EI ne garantit aucun gain financier, aucun volume de réponses, de rendez-vous, de devis signés ou de contrats, aucun retour sur investissement, ni aucun autre résultat commercial, quantitatif ou qualitatif.
Le résultat obtenu dépend de facteurs qui relèvent du client et échappent au contrôle de Sonelay EI, notamment : la pertinence de son offre et de son positionnement, sa tarification, son image de marque et sa réputation, la qualité et la personnalisation de ses messages de prise de contact, la régularité de ses relances, ses compétences commerciales et de négociation, ses délais de réponse, ainsi que la situation propre à chaque prospect, à son marché et à son secteur, et le contexte économique général.
De la même manière, la livraison d'un site, d'une identité visuelle, d'une application ou d'un agent conversationnel dans le cadre des prestations de studio ne s'accompagne d'aucune garantie de trafic, de positionnement dans les moteurs de recherche, de taux de conversion, de notoriété, de croissance ou de revenus.
Aucun chiffre, exemple, estimation, fourchette, score, projection ou cas d'usage présenté sur les supports de Sonelay EI (site, documentation, démonstration, application) ne constitue une promesse ni un engagement de résultat. Ces éléments sont fournis à titre indicatif et illustratif.
En conséquence, aucune demande de remboursement, d'indemnisation ou de réduction de prix ne peut être fondée sur l'absence de résultat commercial, sur un volume d'affaires jugé insuffisant ou sur la performance obtenue.
33. Droit applicable et juridiction compétente
Les présentes CGV sont soumises au droit français.
En cas de différend entre professionnels relatif à la validité, l’interprétation, l’exécution, la résiliation ou les conséquences des présentes CGV, les parties s’efforceront de rechercher une solution amiable préalable.
À défaut d’accord amiable, compétence expresse est attribuée aux tribunaux matériellement compétents du ressort de Bordeaux, sous réserve des règles d’ordre public applicables.
Lorsque le client agit en qualité de consommateur et que le contrat est conclu à distance ou hors établissement, il bénéficie, sauf exception légale, d’un droit de rétractation de quatorze jours à compter de la conclusion du contrat.
Si le client souhaite que la prestation commence avant l’expiration de ce délai, il devra en faire la demande expresse. En cas de rétractation après commencement d’exécution, il restera redevable du montant correspondant aux prestations déjà exécutées, dans les conditions prévues par la réglementation applicable.
Lorsque la prestation aura été pleinement exécutée avant la fin du délai de rétractation, avec l’accord préalable exprès du client et reconnaissance de la perte de son droit de rétractation, ce droit ne pourra plus être exercé.
Le client consommateur pourra, en cas de litige non résolu directement avec Sonelay EI, recourir gratuitement à un médiateur de la consommation, sous réserve des conditions légales de recevabilité.
Médiateur de la consommation : les coordonnées du médiateur compétent sont communiquées sur simple demande à contact@vesoriastudio.com.

Language: these terms are a translation of the French original, provided for convenience. The agreement is governed by French law. In the event of any discrepancy between the two versions, the French version prevails.
Part I · Studio services
1. Purpose
These terms define the conditions under which Sonelay EI provides its clients with consulting, branding, design, UX/UI, art direction, interface design, web development, integration, automation, digital tool creation, conversational solutions, strategic support, maintenance and, more broadly, any service described in a quotation, commercial proposal, purchase order or written agreement.
2. Scope
These terms apply to every order placed with Sonelay EI, except where specific conditions have been expressly accepted in writing.
They prevail over any document issued by the client, including its own general purchasing conditions, unless Sonelay EI has accepted them in advance, expressly and in writing.
3. Acceptance
Signing a quotation, paying a deposit, issuing a purchase order, sending an unambiguous written agreement or requesting that work begin constitutes full and unreserved acceptance of these terms.
4. Contract documents
The applicable contractual framework consists of the following documents, in decreasing order of precedence:
- the signed specific agreement or purchase order, where applicable;
- the approved quotation or commercial proposal;
- these Terms of Sale;
- any technical, functional or scheduling annexes;
- the invoices issued by Sonelay EI.
In the event of any conflict, the higher ranking document prevails.
5. Formation of the order
Unless agreed otherwise, the order becomes firm on the earliest of the following dates:
- signature of the quotation or commercial proposal;
- payment of the agreed deposit;
- written agreement from the client, including by email;
- an express request that work begin.
Unless expressly stated otherwise, any sum paid on ordering constitutes a deposit on account (acompte) and not earnest money (arrhes), and therefore does not allow either party to withdraw by forfeiting it.
6. Description of the services
The services provided by Sonelay EI are described in the quotation, the commercial proposal or any associated contractual document. Any service not expressly mentioned falls outside the initial scope.
Depending on the engagement, services may include:
- audit, scoping and strategy;
- branding, art direction and visual identity;
- UX/UI design, mockups, prototypes and design systems;
- development, integration, configuration or technical deployment;
- implementation of third party tools, automations, AI and digital assistants;
- support, optimisation or maintenance, only where such services are set out in the quotation.
Unless otherwise agreed in writing, Sonelay EI is bound by an obligation of means (obligation de moyens) and not by an obligation to achieve a specific result.
7. Client cooperation
The client undertakes to cooperate actively with Sonelay EI throughout the engagement. In particular, the client undertakes to:
- provide accurate, honest and complete information;
- deliver the required content, access, approvals and materials within the agreed timeframes;
- appoint a single contact with decision making authority;
- verify the compliance of all content, notices, uses, data and materials relating to its own business.
Any delay, failure to respond, late approval, change of direction or omission attributable to the client may result in a revised schedule, additional invoicing or suspension of the engagement, without any liability on the part of Sonelay EI.
8. Prices
Prices are stated in euros, exclusive or inclusive of tax as indicated on the quotation or invoice.
They may be set:
- as a fixed fee;
- on a time spent basis at a daily or hourly rate;
- as a recurring plan or subscription;
- or as a combination of the above.
Unless stated otherwise, the following are not included: licences, hosting, domain names, third party tools, software subscriptions, media purchases, external production, travel, translation, photography, video and subcontracted services.
9. Revisions, iterations and out of scope work
The number of review rounds, corrections or versions included is the number set out in the quotation. Any further request, any change of direction after approval, any substantial redesign, any additional feature or any work beyond the initial scope will be subject to a further quotation or additional invoicing.
10. Payment terms
Unless the quotation provides otherwise:
- a deposit of 50% is payable on ordering;
- the balance is payable according to the schedule set out in the quotation or, failing that, on receipt of invoice;
- no final delivery, full handover, production release or transfer of rights takes place before all sums due have been paid in full.
Payment is made by bank transfer or by any other method expressly accepted by Sonelay EI.
11. Late payment or non payment
Any sum unpaid when due gives rise, automatically and without prior formal notice, to late payment interest calculated at no less than the statutory rate applicable between businesses under the regulations in force, together with the statutory fixed recovery indemnity of 40 euros due for each invoice paid late.
In the event of late payment or non payment, Sonelay EI may immediately suspend all or part of the work in progress, postpone deliveries, decline any new request or terminate the engagement at the client's fault, without the client being entitled to any compensation.
12. Timeframes
The timeframes communicated by Sonelay EI are indicative, unless a binding deadline has been expressly agreed in writing.
The schedule depends in particular on:
- the client's responsiveness;
- timely receipt of content, access and approvals;
- the absence of any substantial change to the scope;
- the availability of third party services, software, APIs, hosting providers and technical platforms.
Any delay attributable to the client or to a third party automatically extends the timeframes accordingly.
13. Delivery, acceptance and approval
Deliverables are handed over in the manner set out in the quotation: preview link, test environment, technical access, files or publication.
The client has 7 business days from delivery to notify, in writing, reasoned reservations relating exclusively to an objective failure to comply with the agreed scope.
In the absence of written reservations within that period, or where the deliverable is used, published, put online or exploited, or where the client requests that the project continue after delivery, the deliverable is deemed accepted without reservation.
14. Maintenance, support and further development
Unless expressly stated in the quotation, Sonelay EI is under no obligation to provide maintenance, updates, corrections, monitoring, hosting, backups or support after delivery.
Any post delivery work may be the subject of a separate quotation, a support package or invoicing on a time spent basis.
15. Subcontractors, tools and third party services
The engagement may involve the use of third party solutions, tools, software, hosting providers, APIs, CMS, plugins or platforms.
Sonelay EI cannot be held liable for consequences arising from:
- any modification, interruption or discontinuation of a third party service;
- any change in pricing, API, policy, compatibility or access;
- any network failure, infrastructure unavailability or supplier incident;
- any solution approved or imposed by the client.
16. Intellectual property
Sonelay EI remains the sole owner of its methods, know how, internal tools, frameworks, libraries, generic structures, processes, unselected concepts, reusable components, technical logic and pre existing materials.
Unless specifically agreed otherwise, rights in the deliverables created specifically for the client are assigned or licensed only after all sums due have been paid in full.
Unless the quotation provides more specific terms:
- after payment in full, the client is granted the right to use the delivered materials for the purposes of its business;
- source files, unselected variants, working documents, undelivered components, internal prompts, systems and generic libraries are not automatically transferred;
- any extended, exclusive, full or worldwide assignment must be expressly provided for in the quotation.
17. Materials provided by the client
The client warrants that it holds all rights, authorisations, licences and approvals required in respect of the content, trademarks, logos, text, images, videos, databases, access credentials and materials it provides to Sonelay EI or asks it to use.
The client remains solely responsible for the lawfulness, accuracy and use of the materials it provides.
18. Commercial references
Unless the client objects in writing beforehand, Sonelay EI may mention the client's name, logo and trademark, a brief description of the engagement and, where applicable, previews of the work produced, as a commercial reference on its communication materials, website, presentations or commercial proposals.
19. Confidentiality
Each party undertakes to keep strictly confidential all information, documents, data, access credentials and exchanges of any kind that come to its knowledge in the course of the contractual relationship, and not to disclose them beyond what is strictly necessary to perform the engagement.
This obligation applies throughout the contractual relationship and for 5 years after it ends, unless a legal obligation provides otherwise.
20. Personal data
The processing of personal data carried out by Sonelay EI in the course of its activities is described in its Privacy Policy.
Where the engagement involves processing data on behalf of the client within the meaning of the applicable regulations, a specific data processing agreement may be concluded where necessary.
21. Liability
Sonelay EI may be held liable only for direct, certain and foreseeable damage resulting from proven fault in the performance of the engagement.
Under no circumstances may Sonelay EI be held liable for indirect or intangible damage, including loss of revenue, loss of margin, loss of data, damage to image, loss of customers, business interruption or commercial harm.
Save in the case of gross negligence, wilful misconduct or any mandatory legal provision to the contrary, the total liability of Sonelay EI, on all grounds combined, is strictly limited to the amount excluding tax actually paid by the client for the engagement concerned.
22. Force majeure
Neither party may be held liable for any delay or failure to perform resulting from an event reasonably beyond its control, including a general outage, external cyberattack, large scale network interruption, failure of a critical supplier, natural disaster, fire, flood, war, strike or administrative decision.
If the impediment continues for more than 30 days, either party may terminate the engagement in writing, without compensation, subject to payment for the work already carried out and the costs already incurred.
23. Suspension and termination
Sonelay EI may suspend or terminate all or part of the engagement in the event of:
- non payment when due;
- serious or repeated breach by the client of its obligations;
- abusive, insulting, unfair or compromising behaviour;
- technical, legal or operational impossibility beyond its reasonable control.
Where termination is attributable to the client, sums already paid remain acquired by Sonelay EI, work carried out or committed remains payable, and any phase already started may be invoiced pro rata temporis or according to its actual stage of completion.
24. Partial invalidity
If any provision of these terms is held to be void, unenforceable or inapplicable, the remaining provisions remain in full force and effect.
Part II · Sonelay, the software
25. The Sonelay service
Sonelay is the prospecting software published by Sonelay EI, available on subscription at app.sonelay.com. It generates lists of real businesses from publicly accessible information, analyses them and suggests angles of approach. The analyses, ranges and priorities provided are indicative: they inform the client's commercial decisions but constitute neither a guarantee of results nor legal or financial advice.
26. Plans and credits
Three subscription plans are offered: Découverte (600 prospects per cycle), Pro (2,000 prospects per cycle, available monthly or annually) and Studio (uncapped volume within the fair use limits set out below). Allowances reset at each billing cycle and unused volume does not carry over.
Optional credit packs extend capacity beyond the monthly allowance: 250 credits for €19, 660 credits (600 + 60 free, +10%) for €39, and 1,800 credits (1,500 + 300 free, +20%) for €89. One credit corresponds to one prospect. Credits do not expire, are used only once the monthly allowance has been exhausted, and are neither refundable nor convertible into cash.
27. Sonelay pricing and payment
The prices in force are displayed in the application and on the checkout page at the time of subscription, in euros. Payment is processed by Stripe, a secure payment provider; Sonelay EI stores no bank card data. Promotional codes may be offered and apply according to their own conditions, displayed at the time of payment. Any change in pricing is notified in advance and applies only from the following cycle.
28. Term, renewal and cancellation of the subscription
The Sonelay subscription is entered into for the chosen period (monthly or annual) and renews automatically at each renewal date. The client may change plan at any time from within the application: the change takes effect immediately and is calculated pro rata. The client may cancel at any time; cancellation takes effect at the end of the current period, at no cost, and access to the service is maintained until that date. Sums already paid for the period underway remain acquired.
29. Right of withdrawal (Sonelay)
The service is intended for business users. For consumer clients where applicable, access to the digital content is provided immediately after payment: by subscribing, the client requests immediate performance of the service and expressly acknowledges waiving the fourteen day right of withdrawal, in accordance with article L221-28 of the French Consumer Code.
30. Fair use of the Sonelay service
The client undertakes to use Sonelay in compliance with the laws applicable to business to business prospecting, in particular regarding data protection and direct marketing. The Studio plan is subject to fair use: comfort limits smooth out exceptional volumes in order to preserve service quality for all users. The following are prohibited: reselling or making the data available to third parties, mass automated extraction, account sharing, and any use liable to harm the service. In the event of a serious breach, Sonelay EI may suspend the account after notice.
31. Availability and liability specific to Sonelay
Sonelay EI uses its best efforts to ensure continuous availability of the service, without being able to guarantee it absolutely (maintenance, supplier incident, force majeure). The aggregated information comes from public sources and may contain inaccuracies beyond its control. For the Sonelay service, the liability of Sonelay EI, on all grounds combined, is limited to the amount actually paid in respect of the last twelve months of subscription. Sonelay EI is not answerable for commercial decisions taken on the basis of the service. The prospecting data built up in the client's workspace remains accessible throughout the subscription and can be exported on request.
General provisions
32. No guarantee of commercial results
Sonelay EI is bound by an obligation of means and not by an obligation to achieve a specific result.
The purpose of the Sonelay service is to identify real businesses, analyse them and suggest angles of approach. It therefore provides prospecting opportunities, not clients, meetings, sales or revenue. Sonelay EI gives no guarantee of any financial gain, of any volume of replies, meetings, signed quotations or contracts, of any return on investment, or of any other commercial result, whether quantitative or qualitative.
The results obtained depend on factors that rest with the client and are beyond the control of Sonelay EI, including: the relevance of its offer and positioning, its pricing, its brand image and reputation, the quality and personalisation of its outreach messages, the consistency of its follow ups, its commercial and negotiation skills, its response times, as well as the situation specific to each prospect, to its market and its sector, and the wider economic context.
In the same way, the delivery of a website, a visual identity, an application or a conversational agent as part of the studio's work carries no guarantee of traffic, search engine ranking, conversion rate, brand awareness, growth or revenue.
No figure, example, estimate, range, score, projection or use case shown on any Sonelay EI material (website, documentation, demonstration, application) constitutes a promise or an undertaking as to results. Such elements are provided for indicative and illustrative purposes only.
Accordingly, no request for a refund, compensation or price reduction may be based on the absence of commercial results, on a volume of business considered insufficient, or on the performance obtained.
33. Governing law and jurisdiction
These terms are governed by French law.
In the event of a dispute between businesses relating to the validity, interpretation, performance, termination or consequences of these terms, the parties will first endeavour to reach an amicable solution.
Failing an amicable agreement, express jurisdiction is conferred on the courts having subject matter jurisdiction within the Bordeaux judicial district, subject to applicable rules of public policy.
Where the client acts as a consumer and the contract is concluded at a distance or away from business premises, the client benefits, save where the law provides otherwise, from a fourteen day right of withdrawal from the conclusion of the contract.
If the client wishes performance to begin before that period expires, the client must expressly request it. In the event of withdrawal after performance has begun, the client remains liable for the amount corresponding to the services already performed, in accordance with the applicable regulations.
Where the service has been fully performed before the end of the withdrawal period, with the client's prior express agreement and acknowledgement of the loss of the right of withdrawal, that right may no longer be exercised.
A consumer client may, where a dispute is not resolved directly with Sonelay EI, refer the matter free of charge to a consumer ombudsman, subject to the legal conditions of admissibility.
